Leading the Divestment of an Operating Business

Situation. A $1 billion agricultural coop facing financial pressure decided to divest several non-core business assets. C3 was engaged to lead the overall divestment process for one of the businesses.
Actions. Worked with business management to pull together all of the operational and financial information to support the proposed sale. Developed the offering memorandum, conducted the buyer search process and created the sales strategy. Solicited interest from strategic and financial buyers, qualified them and managed the bidding process. Selected final bidders, evaluated offers, participated in final selection and managed the process through to closing.
Results. Sale to strategic buyer at a 50% premium to operating value. Sellers’ management team selected to lead new consolidated company.
